NAME:
The name of this
organization shall be: North Dakota Professional Guides and Outfitters
Association, abbreviated NDPGOA.
PURPOSE:
To foster, expand and
perpetuate hunting and fishing of all legal species of game animals
(mammals, birds and fish). To cooperate with other hunting, fishing and
outdoor groups in securing, maintaining, and promoting better hunting and
fishing conditions. To
cooperate with conservation agencies and observe game and fish laws
regarding the conservation of all legal species of game animals.
MEMBERSHIP:
- There
shall be three classes of membership: General, Honorary, and
Associate.
- General
membership shall be granted to
any licensed guide upon application and payment of regular dues and
fees. Only residents of
North Dakota are eligible to be
licensed guides or outfitters in North Dakota.
- Honorary
membership shall be with
exception of regular dues and may be granted for exceptional merit and
service upon recommendation of the Board of Directors.
This shall be a non-voting membership.
- Associate
membership shall be granted to
any business upon application and payment of dues.
This shall be a non-voting membership.
- All
memberships shall expire on December 31 of the same year the
application is made.
- No
person shall be a member if he or she has been convicted of a
violation of any hunting or fishing law(s) during the previous year.
- Current
membership shall be terminated upon convicted of any hunting or
fishing law(s).
ANNUAL MEETING AND
FISCAL YEAR

There shall be an
annual meeting of the membership of this association.
A notice of the meeting must be sent to all members 20 days in
advance of this meeting.

The fiscal year if
this association shall be from January 1 to December 31 on the same
calendar year.
VOTING:
-
Voting
at the annual meetings
a.
Voting at the annual meeting or if any special meeting of the
general membership shall be limited to one vote per member who has
currently paid membership.
b.
No proxy vote will be permitted at the annual meeting or at any
special meeting of the general membership of this association.
2.
Voting of the Board of Directors
a.
Voting at the Board of Directors meeting may be done by written
proxy, addressed to one of the directors present at the meeting.
The addressee director gains one vote thereby.
b.
A duly authenticated written proxy made and presented may be used
to complete a quorum at any specific meeting for which it is used.
c.
A proxy shall be limited to any specific subject or may be a
general proxy for any business undertaken at a specific meeting.
d.
A proxy shall be limited to the meeting for which it is issued.
e.
Each director is entitled to one vote on a given subject or any
given motion. Each officer
shall have one vote at all Board of Directors meetings.
f.
A simple majority of the directors present at the meeting,
including those present by proxy, shall constitute a quorum and may pass
with a simple majority of those present at any business that may come
before them.
g.
A proxy shall be in a form similar to the following:

ELECTIONS:
-
The
state shall be divided into regions determined by the membership.
Each region will appoint a representative living in that area
by the officers of this association to serve on the Board of Directors
for a term of one year.

At
the appropriate annual meeting, the membership shall elect from the
membership present, a President, a Vice-President, and a
Secretary/Treasurer. These
officials shall take office the day after the annual meeting.

The
elected officer term shall be for two years.
-
The
officers so elected shall govern the Board of Directors and shall
serve until duly replaced by election or, in the case of resignation
or incapacity, by appointment of a successor.

The
nominees for the position of officers shall be required to state their
willingness to accept the position and that if elected they will serve
the NDPGOA to the best of their ability.
OFFICERS AND BOARD OF
DIRECTORS DUTIES:
-
The
Board of directors shall consist of the President, Vice-President,
Secretary/Treasurer, and one representative from each region.

The
Board of Directors shall control and manage the activities, policies,
and property of the NDPGOA in accordance with the constitution and
by-laws.
-
Minutes
shall be kept of all meetings and if requested, read back to the
membership at the next annual meeting.
-
All
vacancies of the Board of Directors shall be filled by appointment by
the remaining Board of Directors.
-
The
Board of Directors shall meet as often as deemed necessary for the
performance of their duties.
-
Whenever
a meeting of the Board of Directors is considered impractical or
unnecessary by the President, the Board of Directors shall be
authorized to conduct the meeting by correspondence of telephone
and the results recorded by the Secretary/Treasurer.

The
President shall preside at all meetings, appoint all committees, and
shall have the power to perform the duties incidental to his office.

The
Vice-President shall act in the President's behalf if he is absent or
unable to perform the duties of his office because of any cause beyond
his control.
-
The
Vice-President shall make himself available for consultation to any
and all members for the purpose of promoting the welfare of the NDPGOA
and have the power to perform the duties of his office.

The
Secretary/Treasurer shall keep all records of the NDPGOA, serve all
members for the meeting, conduct all correspondence, and have the
power to perform the duties incidental to the office of Secretary. The
Secretary/Treasurer shall also receive and be the custodian of all
money of the NDPGOA and shall be authorized to made disbursements
there from. He shall keep
accurate records of all income and disbursements and shall present a
report at the annual meeting, and in general have the power to perform
the duties incidental of the Office of Treasurer.
AMENDMENTS:
-
The Constitution may
be amended to two-thirds of the current paid general membership
present at the annual meeting or special meetings called for that
purpose. Notice of a
special meeting must be sent to all members 10 days in advance of that
meeting.
BY-LAWS:
By-laws may be adopted or
amended at the annual meeting or special meeting by a simple majority or
the current paid membership present.

A.
The dues of the NDPGOA shall be set by the membership.
2.
HUNTING AND FISHING
LEGISLATION
A. Legislation
proposals to be introduced at the request of the NDPGOA shall be presented
to the membership at the annual meeting or special meeting.
B.
Legislative action’s affecting hunting and fishing and
conservation of associated resources introduced not at the request of the
NDPGOA shall, when deemed necessary, be acted upon by the Board of
Directors without presentation to the membership.
